Terms of Service

Last updated November 3, 2026

Valhalla CRM is operated by FSE LLC, a Wyoming limited liability company doing business as Valhalla CRM (“Valhalla”, “we”, “us” or “our”).

These Terms of Service (the “Terms”) are a binding agreement between Valhalla and the business that signs up for or uses the Valhalla CRM service (the “Customer” or “you”). By creating an account, signing an order, or using the Service, you agree to these Terms. If you accept them for a company, you confirm that you have authority to bind that company.

Please read sections 7 (calling, texting and email compliance), 17 (limitation of liability), 18 (indemnity) and 20 (governing law and disputes) carefully. They limit our responsibility and place important duties on you.

1.Key terms

  • Service: the Valhalla CRM software at app.valhallacrm.com, including the CRM, power dialer, texting, email, inbox, electronic signature, AI features, leaderboards and related tools, apps and support.
  • Website: valhallacrm.com and its pages.
  • Order: an order form, quote, checkout page or plan selection that you accept, showing your plan, seats, add-ons, term and price.
  • Users: your employees and contractors whom you allow to use the Service under your account.
  • Customer Data: information that you or your Users upload to or create in the Service, including leads, contacts, applications, documents, call records, recordings, messages and notes.

If an Order or a separate signed agreement with us conflicts with these Terms, the Order or signed agreement controls for that point only.

2.Who may use the Service

The Service is for businesses, not for personal, family or household use. You must be a business established in the United States, and every User must be at least 18 years old. The Service is designed for calls and texts to US phone numbers.

3.Accounts and Users

  • Each seat is for one named User. Logins may not be shared.
  • You are responsible for your Users and for everything done under your account, and you must make sure your Users follow these Terms.
  • Users must keep their passwords and 2-step login devices secure. Tell us right away at the address in section 23 if you suspect unauthorized access.
  • You are responsible for adding and removing Users, setting their permissions and turning off access for people who leave your company.
  • Information you give us when you sign up, including for phone number and carrier registrations, must be accurate and kept up to date.

4.Plans, fees and billing

  • Prices. Plans are priced per User (“rep”) per month. Current list prices are $199 per rep per month for Base and $299 per rep per month for Pro. The price in your Order controls.
  • Minimum. Every account has a minimum of 2 seats.
  • Yearly plans. If you choose yearly billing, you pay for 10 months and get 12 (“2 months free”), billed in advance for the year.
  • Add-ons. Optional add-ons, such as extra lines, extra phone numbers, Do Not Call scrubbing and credit checks, are charged as shown in your Order or in the Service.
  • Allowances and overages. Plans include usage allowances (for example, for calling, texting, AI features and storage). Usage above an allowance is charged at the overage rates in your Order or plan.
  • Fair use of unlimited US calling. “Unlimited” US calling is for normal, human-paced sales calling by your own Users and is pooled across your company. It is subject to fair use. It does not cover reselling, wholesale or call-center traffic for others, traffic pumping, or calling that is far outside normal use for a team of your size. If your usage goes beyond fair use, we will contact you and may limit calling, move you to a plan that fits, or charge overage.
  • Billing. Fees are billed in advance, monthly or yearly as chosen, and your subscription renews automatically. You authorize us and our payment processor to charge your payment method on each renewal and for any usage charges. Usage charges are billed in arrears.
  • Taxes. Prices do not include taxes. You pay any sales, use or similar taxes on your purchase, other than taxes on our income.
  • Late payment. If a payment fails or an invoice is overdue, we will notify you. If it is still unpaid 5 days after that notice, we may suspend the Service until it is paid.
  • Price changes. We may change our prices with at least 30 days’ notice. New prices apply from your next renewal.
  • Billing questions. Tell us about any charge you dispute within 60 days of the charge.

5.Term, cancellation and refunds

Your subscription runs for the term in your Order (monthly or yearly) and renews for the same term until cancelled.

An account administrator can cancel at any time by emailing demo@valhallacrm.com. Cancellation takes effect at the end of the current paid term, and the Service stays available until then. You can reduce seats or downgrade from your next renewal.

Fees are non-refundable. We do not give refunds or credits for partial months, unused seats, unused allowances or early cancellation, except where the law requires it.

6.Acceptable use

You and your Users may not use the Service to, or attempt to:

  • make calls or send texts, emails or voicemails that break any law, including illegal robocalls and calls or texts without the consent the law requires;
  • call or text people on a Do Not Call list in violation of the law, or outside lawful calling hours;
  • spoof caller ID, use caller ID to mislead, or rotate phone numbers to avoid blocking, labeling or Do Not Call rules;
  • harass, threaten, deceive or defraud anyone, or send content that is unlawful, defamatory or infringing;
  • place calls with an artificial or AI-generated voice (AI voice calling), unless you have each recipient’s prior express written consent and our prior written approval;
  • leave prerecorded messages, including with voicemail drop, except where the law allows it and with any consent the law requires;
  • resell, sublicense or provide the Service to anyone other than your own Users, or use it as a call-center service for others;
  • copy, modify, reverse engineer or decompile the Service, or build a competing product using it;
  • scrape, crawl or use automated means to access the Service, except through features or interfaces we provide for that purpose;
  • probe, scan or test the security of the Service, or bypass any security or usage limit, without our written permission;
  • upload malware, or interfere with or overload the Service; or
  • upload information you have no right to use.

7.Calling, texting and email compliance

Valhalla gives you the controls; the legal duties for your calls and texts stay with your company. You are the caller and sender of every call, text, voicemail and email your Users make or send through the Service, and you alone are responsible for them.

You are responsible for complying with all laws and industry rules that apply to your communications. These include the Telephone Consumer Protection Act and the FCC’s rules, the Telemarketing Sales Rule, the National Do Not Call Registry, state telemarketing, Do Not Call and calling-hour laws, call recording and consent laws (some states require every party’s consent), the CAN-SPAM Act, caller ID rules, and carrier and messaging rules such as 10DLC registration and the CTIA guidelines. In particular, you must:

  • get and keep records of any consent the law requires before you call or text;
  • keep your own internal Do Not Call list, honor opt-out requests promptly, and maintain any registry subscription the law requires;
  • give any notices the law requires, including before recording a call;
  • register your business and campaigns with carriers where required, and give accurate information; and
  • make sure your Users are trained and follow these rules.

Features such as calling-hour checks, Do Not Call checks, consent fields, state blocks, multi-line dialing, voicemail drop and local phone numbers are tools you choose to configure and use. They depend on the settings and data you provide. They are not legal advice and do not guarantee compliance. Talk to your own lawyer about how the rules apply to you.

We may block, pause or refuse any call or message, and suspend phone numbers, when a carrier asks, when we receive complaints, or when we reasonably believe it breaks the law or these Terms. Phone numbers we provide stay subject to carrier rules and may need to be released when your account ends.

8.Customer Data

  • Ownership. You own your Customer Data. You give us the right to host, copy, process, transmit and display it as needed to provide, secure and support the Service and as our Privacy Policy describes.
  • Our role. We process Customer Data on your behalf and under your instructions, as your service provider. We do not sell Customer Data.
  • Your responsibility. You are responsible for the accuracy and lawful collection of Customer Data, and for giving any notices and getting any consents needed for us to process it. Upload sensitive information, such as Social Security numbers and bank details, only when your business needs it.
  • Aggregated data. We may use usage information and data that has been aggregated or de-identified so it does not identify you, your Users or any person, to run and improve the Service.
  • Export. While your account is active, you can export your Customer Data with the tools in the Service or by asking us at demo@valhallacrm.com.
  • Deletion. After your account ends, we keep Customer Data for 30 days so you can request an export in a standard format. After that, we delete it from our active systems. Copies in backups are overwritten as backups roll off on their normal schedule. We may keep data longer where the law requires it.

9.AI features

AI features, such as document reading, underwriting suggestions, lender matching and call summaries, produce output automatically and can be inaccurate or incomplete. Review AI output before you rely on it. It is not financial, credit, legal or tax advice, and you make all decisions about your leads, applicants, offers and deals.

Our AI providers process Customer Data under terms that do not allow them to train their models on it.

10.Third-party services

The Service works with services run by others, such as phone carriers, email providers, electronic signature, calendar and payment providers, and any lender or partner systems you connect. Their own terms apply, and we are not responsible for their services, outages or actions.

You are responsible for making sure that electronic signatures and documents you send through the Service are suitable and legally valid for your purpose.

11.Security

We use reasonable safeguards designed to protect Customer Data, including encryption in transit, encryption at rest of sensitive fields with a separate key for each company, isolation between Customers, 2-step login and audit logs. No system is completely secure, and we do not promise that the Service will be free of security incidents.

You are responsible for securing your Users’ devices, accounts and passwords. If we learn of a security incident affecting your Customer Data, we will notify you without undue delay and as the law requires.

12.Confidentiality

Each party may receive non-public information from the other, including Customer Data, pricing, product plans and security details. The receiving party will use it only to perform under these Terms, protect it with reasonable care, and share it only with people and providers who need it and are bound to keep it confidential. This does not apply to information that is public through no fault of the receiving party, already known to it, independently developed or lawfully received from someone else. A party may disclose information when the law requires, after giving notice where allowed.

13.Our intellectual property and feedback

We and our licensors own the Service, the Website and all related software, designs, content and trademarks. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right for your Users to use the Service for your internal business during your subscription. All rights not expressly granted are reserved.

If you send us suggestions or feedback, we may use them without restriction or payment to you.

14.Availability, support and changes

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted or error-free, and we offer no service-level commitment unless your Order includes one. We may perform maintenance, which can cause brief interruptions.

We improve the Service continually and may add, change or remove features. If a change materially reduces the core features of your plan during a paid term, we will tell you in advance and you may cancel before the change takes effect.

Features marked “Early access”, “Soon”, beta or similar are provided as they are, may change or end, and may have limits.

Support is available by email at demo@valhallacrm.com.

15.Referral and partner programs

Our referral, affiliate and business partner programs are governed by their own partner agreement or program terms, which set out eligibility, rewards and rules. We may change or end a program as those terms allow. Partners must disclose that they earn a reward when they recommend Valhalla and may not cold call, text or spam in Valhalla’s name.

16.Disclaimers

EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICE AND THE WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT THE LAW ALLOWS, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

We do not promise any business result, such as sales, funded deals, contact or answer rates, or message delivery, and we do not promise that carriers will accept, connect, label or deliver any call or message. Nothing in the Service is legal advice, and using it does not by itself make your calls, texts or emails compliant.

Information on the Website, including prices and feature descriptions, is general information and may change. It is not an offer until it appears in an Order you accept.

17.Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, BUSINESS OR DATA, EVEN IF TOLD THEY WERE POSSIBLE; AND
  • OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT THAT GAVE RISE TO THE CLAIM.

These limits do not apply to your payment obligations or your obligations under section 18 (indemnity). They apply whatever the legal theory and even if a remedy fails of its essential purpose.

18.Indemnity

You will defend, indemnify and hold harmless FSE LLC and its affiliates, members, managers, officers, employees and agents from and against any claims, demands, fines, penalties, losses, damages, settlements, costs and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • your Customer Data;
  • calls, texts, voicemails, emails, recordings and other communications made or sent by you or your Users, including claims under the Telephone Consumer Protection Act, Do Not Call rules and similar laws;
  • your or your Users’ breach of these Terms or of any law; and
  • your dealings with your own customers, applicants, lenders and partners.

We will tell you promptly about any claim, let you control its defense, and give reasonable help at your expense. You may not settle a claim in a way that admits fault for us or binds us without our written consent.

19.Suspension and termination

We may suspend all or part of the Service, immediately where needed, if we reasonably believe your account is being used in breach of section 6 or 7, poses a security risk, or exposes us, a carrier or anyone else to legal liability or harm, or as described in section 4 for non-payment. We will tell you why and restore the Service once the issue is resolved.

Either party may end these Terms if the other materially breaches them and does not fix the breach within 15 days of written notice. We may end them immediately for serious or repeated breaches of section 6 or 7. When these Terms end, your right to use the Service ends, you must pay any fees owed, and section 8 governs your Customer Data. Sections that by their nature should survive will survive.

20.Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms, the Service or the Website will be brought only in the state or federal courts located in Wyoming, and each party consents to their jurisdiction and venue.

TO THE EXTENT THE LAW ALLOWS, EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL, AND CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE PROCEEDING.

Before filing a claim, please contact us so we can try to resolve the issue informally. Any claim must be brought within one year after it arises, unless the law requires a longer period.

21.Changes to these Terms

We may update these Terms from time to time. We will post the new version on this page and change the “Last updated” date. For material changes, we will give at least 30 days’ notice by email or in the Service before they take effect, except for changes required by law or that relate to new features, which may take effect sooner. If you do not agree to a change, you may cancel before it takes effect. If you keep using the Service after it takes effect, you accept the updated Terms.

22.General

  • Entire agreement. These Terms, your Orders and the documents they refer to are the entire agreement between us about the Service and replace any earlier agreements on that subject.
  • Notices. We may send notices to the email address of your account administrator or in the Service. You may send notices to us at the address in section 23. You agree to receive communications from us electronically.
  • Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, reorganization or sale of all or part of our business.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, including carrier or internet outages, provider failures, natural disasters, war, government action or labor disputes. This does not excuse payment.
  • Independent parties. The parties are independent contractors. These Terms create no partnership, agency or employment relationship.
  • Export and sanctions. You will not use the Service in violation of US export control or sanctions laws.
  • Publicity. We may name you as a customer unless you ask us not to.
  • No waiver; severability. Not enforcing a provision is not a waiver. If any provision is found unenforceable, it will be enforced to the maximum extent allowed and the rest of these Terms stay in effect.
